THESE TERMS OF SERVICES (THE “TERMS”) GOVERN YOUR ACCESS AND USE OF THE SERVICES (AS DEFINED

BELOW) PROVIDED BY FAIR DOCUMENT COMPANY (dba
NIMBUS LAW). (“FAIRDOCUMENT”, “NIMBUS”, “NIMBUS LAW”, “WE”, “OUR” or “USE”) AND NIMBUS LAW’S

WEBSITE LOCATED AT HTTPS://WWW.NIMBUSLAW.COM (THE “SITE”).

BY USING THE SERVICES, YOU ACKNOWLEDGE AND AGREE THAT YOU: (A) HAVE READ ALL OF THE TERMS

AND CONDITIONS SET FORTH BELOW; (B) UNDERSTAND ALL OF THE TERMS AND CONDITIONS SET FORTH

BELOW; AND (C) AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH BELOW.

We reserve the right to change or modify any of the terms and conditions contained in the

Terms or any policy or guideline of the Site or the Services, at any time and in our sole

discretion. Any changes or modifications will be effective immediately upon posting of the

revisions on the Site or being made available via the Services, and you waive any right you

may have to receive specific notice of such changes or modifications. Your continued use of

the Site or the Services following the posting of changes or modifications will confirm your

acceptance of such changes or modifications. Therefore, you should frequently review the

Terms and applicable policies from time-to-time to understand the terms and conditions that

apply to your use of the Site and the Services. If you do not agree to the amended Terms,

you must stop using the Site and the Services. The Terms do not alter in any way the terms

or conditions of any other agreement you may have with FairDocument for any FairDocument

services and products. If you are using the Site and the Services on behalf of an entity,

you represent and warrant that you are authorized to accept the Terms on such entity’s

behalf, and that such entity agrees to indemnify you and Nimbus Law for violations of the

Terms.

–Privacy Policy

Please refer to our Privacy Policy for information on how we collect, use and disclose

personally identifiable information from our users.

–Services and Terms of Sale

Nimbus Law provides access to documents, content and other information (“Professional

Information”) provided by professional individuals and entities in order to enable you to

view, use, download and customize (via the use of Nimbus Law’s technology) certain portions

of the Professional Information (collectively, the “Services”).

Please refer to our Subscription Terms for the fees and payment terms applicable to your use

of the Services. By purchasing Services, you agree to be bound by and accept the

Subscription Terms. Since the Subscription Terms are subject to change without prior notice

at any time (in Nimbus Law’s sole discretion), you should review the Subscription Terms each

time you make a purchase.

–Registration Data & Other Information Provided by You

You agree to: (a) provide accurate, current and complete information about you as may be

prompted by any signup, login and/or registration forms on the Site (“Registration Data”);

(b) maintain the security of your password and identification; (c) maintain and promptly

update the Registration Data, and any other information you provide to FairDocument, in

order to keep it accurate, current and complete; and (d) accept all risks of unauthorized

access to the Registration Data and any other information you provide to Nimbus Law.

–Grants, Restrictions and Ownership

Unless otherwise indicated on the Site (or made available via the Services), the Site, the

Services and all content and other materials on the Site (or made available via the

Services), including, but not limited to, the Professional Information, our logo and all

designs, text, graphics, pictures, information, data, software and the selection and

arrangement thereof (collectively, the “Site Materials”) are our proprietary property of

Nimbus Law or our licensors and are protected by U.S. and international copyright laws.

Subject to the terms and conditions of the Terms, Nimbus Law hereby grants to you a non-

exclusive, non-transferable and revocable right to access and use the Services (including,

the Nimbus Law Technology).

Except as expressly permitted in the Terms, you are granted a limited, non-sublicensable

license to access and use the Site, the Services and electronically copy, (except where

prohibited without a license) and print to hard copy portions of the Site Materials (except

Third Party Content) for your informational, non-commercial and personal use only. The

license is subject to the Terms and does not include: (a) the collection and use of

Professional Information; (b) any resale or commercial use of the Site, the Services or the

Site Materials; (c) the distribution, public performance or public display of any Site

Materials; (d) modifying or otherwise making any derivative uses of the Site, the Services

and the Site Materials (or any portion thereof); (e) use of any data mining, robots or

similar data gathering or extraction methods; (f) downloading (other than the page caching)

of any portion of the Site, the Services (where applicable), the Site Materials or any

information contained therein; or (g) any use of the Site, the Services or the Site

Materials other than for its intended purpose. Any use of the Site, the Services or the Site

Materials other than as specifically authorized in the Terms, without the our prior written

permission, is strictly prohibited and will terminate the license granted in the Terms. Such

unauthorized use may also violate applicable laws including, but not limited to, copyright

and trademark laws and applicable communications regulations and statutes. Unless explicitly

stated herein, nothing in the Terms will be construed as conferring any license to

intellectual property rights, whether by estoppel, implication or otherwise. This license is

revocable at any time.

Since Nimbus Law stores your customized documents, you grant Nimbus Law a nonexclusive,

royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce,

modify, adapt, publish, translate, create derivative works from, distribute, perform and

display such customized documents.

–Your Conduct

You agree not to use the Services:

to create libelous, defamatory, profane, obscene, pornographic, sexually explicit,

indecent, lewd, vulgar, suggestive, violent, harassing, hateful, threatening, offensive,

discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive or otherwise

objectionable materials;

for any illegal or unlawful purposes or to encourage or provide instructions for a

criminal offense

in any manner that would likely violate any local, state, national or international law;

to create material that may infringe or violate any patent, trademark, trade secret,

copyright, right of privacy, right of publicity or other intellectual or other right of any

party;

for unsolicited promotions, political campaigning, or commercial messages (SPAM) or any

chain messages;

to create material that is designed to deceive or trick the others;

in a manner that may create viruses, corrupted data or other harmful, disruptive or

destructive files or code; or

to create material that exploits minors.

You further agree that you are solely responsible for your conduct while on the Site and the

Services, and you agree that you will not do any of the following in connection with the

Site, the Services or the users of the Site and/or the Services:

use the Site or the Services in any manner that could interfere with, disrupt,

negatively affect or inhibit other users from fully enjoying the Site or the Services or

that could damage, disable, overburden or impair the functioning of the Site or the Services

in any manner;

collect any personal information about other users;

use the Site or the Services for any illegal or unauthorized purpose or engage in,

encourage, or promote any illegal activity, or any activity that violates the Terms or any

other rules or polices established from time-to-time by FairDocument;

modify, adapt, hack or emulate the Site or the Services;

circumvent or attempt to circumvent any filtering, security measures or other features

designed to protect the Site, the Services or users of the Site or the Services or third

parties; and

infringe upon or violate the rights of FairDocument, its users or any third party.

Nimbus Law takes no responsibility and assumes no liability for any user conduct or content.

Your use of the Services and the Site is at your own risk. Enforcement of the user content

and conduct rules set forth in the Terms is solely at Nimbus Law’s discretion, and failure

to enforce such rules in some instances does not constitute a waiver of our right to enforce

such rules in other instances.

Any use of the Site or the Services in violation of any of the terms or conditions of the

Terms may result in, among other things, termination or suspension of your rights to use the

Services and/or the Site.

–Other Third Party Content

In addition to the Professional Information, Nimbus Law provides other third party content

on the Site and via the Services and FairDocument may provide links to Web pages and content

of third parties (collectively, “Third Party Content”). Nimbus Law does not control, endorse

or adopt any Third Party Content and makes no representation or warranties of any kind

regarding the Third Party Content including, without limitation, regarding its accuracy or

completeness. You acknowledge and agree that Nimbus Law is not responsible or liable in any

manner for any Third Party Content and undertakes no responsibility to update or review any

Third Party Content. Users use such Third Party Content contained therein at their own risk.

–Advertisements and Promotions; Third Party Products and Services

Nimbus Law may run advertisements and promotions from third parties on the Site (or via the

Services) or may otherwise provide information about or links to third-party products or

services on the Site (or via the Services). Your business dealings or correspondence with,

or participation in promotions of, such third parties, and any terms, conditions, warranties

or representations associated with such dealings or promotions, are solely between you and

such third party. Nimbus Law is not responsible or liable for any loss or damage of any sort

incurred as the result of any such dealings or promotions or as the result of the presence

of such non-Nimbus Law advertisers or third party information on the Site (or accessible via

the Services).

–Trademarks

The Nimbus Law logos and slogan contained in the Site (or made available via the Services)

are trademarks of Fair Document Company and its suppliers or licensors, and may not be

copied, imitated or used, in whole or in part, without the prior written permission of

Nimbus Law or the applicable trademark holder. You may not use any metatags or any other

“hidden text” utilizing “Nimbus” or any other name, trademark or product or service name of

Nimbus Law without our prior written permission. In addition, the look and feel of the Site

and the Services, including all page headers, custom graphics, button icons and scripts, is

the service mark, trademark and/or trade dress of FairDocument and may not be copied,

imitated or used, in whole or in part, without our prior written permission. All other

trademarks, registered trademarks, product names and company names or logos mentioned in the

Site (or made available via the Services) are the property of their respective owners.

Reference to any products, services, processes or other information, by trade name,

trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement,

sponsorship or recommendation thereof by us.

–Indemnification

You agree, at your sole expense, to defend, indemnify and hold us, our independent

contractors, service providers and consultants, and their respective directors, employees

and agents, harmless from and against any and all actual or threatened suits, actions,

proceedings (at law or in equity), claims, damages, payments, deficiencies, fines,

judgments, settlements, liabilities, losses, costs and expenses (including, but not limited

to, reasonable attorney fees, costs, penalties, interest and disbursements) caused by,

arising out of, resulting from, attributable to or in any way incidental to: (a) your use of

the Site, the Site Materials and/or the Services; (b) your conduct; or (c) your violation of

the Terms or your violation of the rights of any third party.

–No Attorney-Client Relationship

The Professional Information posted or made available on or through the Site or the Services

is not intended as legal advice or to create an attorney-client relationship between you, us

and any attorney. Such Professional Information is intended for general informational

purposes only and should be used only as a starting point for addressing your legal issues.

It is not a substitute for an in-person or telephone consultation with an attorney licensed

to practice in your jurisdiction about your specific legal issue, and you should not rely

upon such Professional Information.

–Information on the Site

You acknowledge and agree that FairDocument does not select, screen, approve or endorse any

Professional Information. In addition, although we reserve the right to review, remove or

edit any content from the Site (or made available through the Services), we do not routinely

screen, monitor or review the Professional Information. As a result, we have no control over

and we do not warrant or guarantee the accuracy, adequacy, applicability, completeness,

currency or quality of any such Professional Information or the qualifications of those

posting Professional Information. FAIRDOCUMENT WILL HAVE NO RESPONSIBILITY OR LIABILITY OF

ANY KIND FOR ANY PROFESSIONAL INFORMATION YOU ENCOUNTER ON OR THROUGH THE SITE AND THE

SERVICES, AND ANY USE OR RELIANCE ON PROFESSIONAL INFORMATION IS SOLELY AT YOUR OWN RISK.

–Disclaimer

THE SITE, THE SITE MATERIALS, THE PROFESSIONAL INFORMATION AND THE SERVICES ARE PROVIDED ON

AN AS IS OR AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OR CONDITIONS OF

ANY KIND. WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE AVAILABILITY,

RELIABILITY OR SECURITY OF THE SITE, THE SITE MATERIALS, THE PROFESSIONAL INFORMATION AND

THE SERVICES. WE DISCLAIM ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS (EXPRESS OR

IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SITE, THE SITE MATERIALS, THE PROFESSIONAL

INFORMATION AND THE SERVICES WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF

CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE INCLUDING: (A) ANY AND ALL

WARRANTIES OF MERCHANTABILITY; (B) ANY AND ALL WARRANTIES OF FITNESS OR SUITABILITY FOR ANY

PURPOSE (WHETHER OR NOT WE KNEW, HAVE REASON TO KNOW, HAVE BEEN ADVISED, OR ARE OTHERWISE

AWARE OF ANY SUCH PURPOSE); AND (C) ANY AND ALL WARRANTIES OF NONINFRINGEMENT OR CONDITION

OF TITLE. FAIRDOCUMENT DOES NOT REPRESENT OR WARRANT THAT THE SITE, THE SITE MATERIALS, THE

PROFESSIONAL INFORMATION AND THE SERVICES. FAIR DOCUMENT COMPANY DOES NOT REPRESENT OR

WARRANT THAT THE SITE, THE SITE MATERIALS, THE PROFESSIONAL INFORMATION AND THE SERVICES.

FAIR DOCUMENT COMPANY IS NOT RESPONSIBLE FOR ERRORS OR OMISSIONS IN ANY INFORMATION OR

MATERIALS CONTAINED ON (OR MADE AVAILABLE THROUGH) THE SITE, THE SITE MATERIALS, THE

PROFESSIONAL INFORMATION AND THE SERVICES. WHILE FAIRDOCUMENT ATTEMPTS TO MAKE YOUR ACCESS

AND USE OF THE SITE, THE SITE MATERIALS, THE PROFESSIONAL INFORMATION AND THE SERVICES SAFE,

FAIR DOCUMENT COMPANY CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE SITE, THE SITE

MATERIALS, THE PROFESSIONAL INFORMATION, THE SERVICES OR FAIR DOCUMENT COMPANY’S SERVER(S)

ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THEREFORE, YOU SHOULD USE INDUSTRY-

RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES, SPYWARE, MALWARE, AND OTHER HARMFUL OR

OTHERWISE UNDESIRABLE COMPONENTS FROM ANY DOWNLOAD.

Nimbus Law reserves the right to change any and all content contained in the Site (or made

available via the Services) and to modify, suspend or discontinue the Site, the Services or

any features or functionality of the Site or the Services at any time without notice and

without obligation or liability to you. Reference to any products, services, processes or

other information, by trade name, trademark, manufacturer, supplier or otherwise does not

constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation

therewith, by Nimbus Law.

While Nimbus Law endeavors to provide and to allow others to provide useful information

regarding professionals and professional services, you acknowledge that such information is

reliant upon third party data and contributions, that there are certain inherent limitations

to the accuracy or currency of such information, that professional and other information may

be incomplete or may contain inaccuracies (including, but not limited to, any

interpretations and reviews of such information, the Professional Information and Site

Materials), and that information on the Site (or made available via the Services) may be

outdated or contain errors, omissions or misinterpretations of information. You further

acknowledge that professional profiles (firm and attorney profiles) including, but not

limited to, descriptions of a professional’s areas of practice or specializations are based

on data submitted to FairDocument, which may be incomplete or inaccurate.

Neither the Professional Information nor any of the other information contained on the Site

or provided through the Services, are an endorsement of any particular professional or are a

guarantee of a professional’s quality, competency, qualifications, experience, resources,

character, honesty, integrity, responsiveness or other personal and professional

characteristics. Nor are they a predictor of the outcome of any matter in which such

professional is involved.

–Limitation of Liability

IN NO EVENT WILL FAIRDOCUMENT, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, INDEPENDENT

CONTRACTORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR

CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE

OUTCOME OF LEGAL MATTERS, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION

IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE) STRICT LIABILITY OR OTHERWISE

(EVEN IF FAIRDOCUMENT HAS BEEN ADVISED OR IS OTHERWISE AWARE OF THE POSSIBILITY OF SUCH

DAMAGES) ARISING OUT OF OR IN ANY WAY RELATED TO OR CONNECTED WITH THE SITE, THE SITE

MATERIALS, THE PROFESSIONAL INFORMATION AND THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY

DAMAGES, LOSS OR INJURY CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION

OBTAINED FROM FAIRDOCUMENT, THE SERVICES OR THE SITE, OR THAT RESULT FROM MISTAKES,

OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR E-MAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN

OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS

OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO FAIRDOCUMENT’S

RECORDS, PROGRAMS OR SERVICES. FAIRDOCUMENT’S TOTAL LIABILITY ARISING OUT OF OR IN ANY WAY

RELATED TO OR CONNECTED WITH THE SITE, THE SITE MATERIALS, THE PROFESSIONAL INFORMATION AND

THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO FAIRDOCUMENT, IF ANY, FOR ACCESS AND

USE OF THE SITE AND THE SERVICES. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY

SPECIFIED IN THESE TERMS IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

–Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable law,

FairDocument has adopted a policy of terminating, in appropriate circumstances and at

FairDocument’ sole discretion, subscribers or account holders who are deemed to be repeat

infringers. Nimbus Law may also at its sole discretion limit access to the Site and/or

terminate the accounts of any users who infringe any intellectual property rights of others,

whether or not there is any repeat infringement.

–Copyright Complaints

If you believe that any material on the Site or made available via the Services infringes

upon any copyright which you own or control, you may file a notification of such

infringement by email to info@nimbulaw.com.

We may give notice of a claim of copyright infringement to our users by means of a general

notice on the Site, electronic mail to a user’s e-mail address in our records, or by written

communication sent by first-class mail to a user’s address in our records.

–Applicable Law and Venue

The Terms and your use of the Site will be governed by and construed in accordance with the

laws of the Commonwealth of Virginia, applicable to agreements made and to be entirely

performed within the Commonwealth of Virginia, without resort to its conflict of law

provisions. You agree that any action at law or in equity arising out of or relating to the

Terms will be filed only in the state and federal courts located in Albemarle County,

Virginia and you hereby irrevocably and unconditionally consent and submit to the exclusive

jurisdiction of such courts over any suit, action or proceeding arising out of the Terms.

–Termination

We have the right, without notice and in our sole discretion, to terminate your license to

use the Site and the Services, and to block or prevent your future access to and use of the

Site and the Services.

–Consent to Receive Emails

By using the Site and the Services, you consent to receive e-mails from Nimbus Law, which

may include commercial e-mails provided such e-mails are in accordance with the preferences

you select in the e-mail and notifications page of the My Account section of the Site. You

may change such preferences by changing your account settings on the e-mail and

notifications page of the My Account section of the Site. Please note that as long as you

maintain an account, you may not “opt out” of receiving service or account-related e-mails

from Nimbus Law.

–Refunds and Returns Policy

Our refund and returns policy lasts 30 days. If 30 days have passed since your purchase, we can’t offer you a full refund or exchange.

To be eligible for a return, your item must be unused and in the same condition that you received it. It must also be in the original packaging.

Several types of goods are exempt from being returned. Perishable goods such as food, flowers, newspapers or magazines cannot be returned. We also do not accept products that are intimate or sanitary goods, hazardous materials, or flammable liquids or gases.

 

Additional non-returnable items:

  • Gift cards
  • Downloadable software products
  • Some health and personal care items

To complete your return, we require a receipt or proof of purchase.

Please do not send your purchase back to the manufacturer.

There are certain situations where only partial refunds are granted:

  • Book with obvious signs of use
  • CD, DVD, VHS tape, software, video game, cassette tape, or vinyl record that has been opened.
  • Any item not in its original condition, is damaged or missing parts for reasons not due to our error.
  • Any item that is returned more than 30 days after delivery

–Refunds

Once your return is received and inspected, we will send you an email to notify you that we have received your returned item. We will also notify you of the approval or rejection of your refund.

If you are approved, then your refund will be processed, and a credit will automatically be applied to your credit card or original method of payment, within a certain amount of days.

If you haven’t received a refund yet, first check your bank account again.

Then contact your credit card company, it may take some time before your refund is officially posted.

Next contact your bank. There is often some processing time before a refund is posted.
